1. Acceptance of Terms
By creating an account or accessing Truckers Shield or Fleet Shield (collectively, the "Platform") at truckersshield.net, truckersshield.xyz, fleetshield.xyz, or related domains, you agree to be bound by these Terms of Service. These Terms constitute a legally binding agreement between you and Goins Digital LLC, a Wyoming limited liability company.
2. Description of Service
Truckers Shield and Fleet Shield are subscription-based software platforms designed to help owner-operators, fleet owners, hotshot drivers, box truck operators, and trucking professionals manage business finances, verify broker and carrier credentials, store business documents, track operational performance, and access AI-assisted analysis features including Co-Driver AI and Fraud Guard.
3. Subscription and Payment
Truckers Shield access requires a paid subscription (currently $39.00 USD per month at founding rate; standard rate $79.00 USD per month). Fleet Shield Founding 25 pricing uses marginal per-truck rates for fleets of 2–15 trucks ($100.00, $80.00, and $70.00 USD per truck per month by band, stacked), locked for life for the first 25 signups. Fleets of 16 or more trucks are priced per the published tier ladder unless otherwise agreed in writing. A 5-day free trial may be available to new Truckers Shield users. All payments are processed securely through Stripe. Separate master service agreements may apply to certain Fleet Shield enterprise arrangements; if a signed agreement conflicts with these Terms, the signed agreement controls for that customer.
4. Financial Disclaimer
Financial calculations are estimates based on data you provide. Platform outputs — including load profitability verdicts, tax reserve estimates, and cost-per-mile figures — do not constitute professional financial, tax, legal, or accounting advice. You are solely responsible for your business decisions and for consulting qualified professionals where appropriate.
5. AI-Powered Features
Truckers Shield includes features that use artificial intelligence, including but not limited to Co-Driver AI and Fraud Guard (broker/carrier risk scoring). By using these features, you acknowledge and agree:
- AI involvement is disclosed. Co-Driver AI is an AI system, not a human advisor. Any response, recommendation, risk score, or analysis it generates is produced by automated processing of the data you provide combined with general industry information — it is not reviewed by a human before being shown to you unless we state otherwise.
- No professional advice. Outputs from Co-Driver AI or Fraud Guard — including tax reserve estimates, load profitability verdicts ("TAKE IT"/"PASS IT"), broker risk ratings, and dispute letter drafts — are automated estimates, not professional financial, tax, legal, or accounting advice, and not a guarantee of any broker's or carrier's trustworthiness or a shipper's reliability. You are responsible for independently verifying any decision made in reliance on these outputs before acting on it.
- Accuracy is not guaranteed. AI-generated outputs may be incomplete, outdated, or incorrect. We do not warrant the accuracy, completeness, or reliability of any AI-generated content, calculation, or risk score.
- Data used to generate outputs. To provide these features, your account and financial data (including load, settlement, and document data you upload) is processed by our AI systems, which may include third-party AI service providers, including models provided by Anthropic. Your data is not used to train third-party foundation models unless you separately opt in. See our Privacy Policy for details.
- Fraud Guard risk scores are informational only. Broker and carrier risk ratings are generated from FMCSA data, community-reported signals, and automated analysis. A "Low Risk" or similar rating is not a guarantee of payment, safety, or legitimacy, and we are not liable for any loss arising from reliance on a risk score.
6. Disclaimer of Warranties
THE PLATFORM AND ALL FEATURES (INCLUDING AI-GENERATED OUTPUTS) ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY OF ANY FINANCIAL CALCULATION, TAX ESTIMATE, LOAD PROFITABILITY VERDICT, OR RISK SCORE GENERATED BY THE PLATFORM.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOINS DIGITAL LLC AND ITS OFFICERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING RELIANCE ON ANY AI-GENERATED OUTPUT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.
Attorney review: Some states do not allow liability caps this low for gross negligence or willful misconduct — carve those out explicitly, and confirm the cap amount is defensible given $39/mo–$15K+/mo price points.
8. Indemnification
You agree to indemnify and hold harmless Goins Digital LLC from any claim, loss, or damage (including reasonable attorneys' fees) arising from: (a) your use of the Platform in violation of these Terms; (b) your violation of any law or third-party right; (c) any decision you make in your trucking or fleet operations, whether or not informed by Platform outputs, including load acceptance/rejection, broker selection, or tax filings.
9. Dispute Resolution; Binding Arbitration; Class Action Waiver
Please read this section carefully — it affects your legal rights, including your right to file a lawsuit in court and to participate in a class action.
- Agreement to arbitrate. You and Goins Digital LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies.
- Class action waiver. You and Goins Digital LLC agree that any arbitration or proceeding will be conducted only on an individual basis and not as a class, collective, or representative action.
- 30-day opt-out. You may opt out of this arbitration agreement by emailing handshake@truckersshield.xyz within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. If you opt out, disputes will be resolved in the courts of Wyoming as provided in the Governing Law section, and the class action waiver in this section does not apply to you.

Attorney review: Enforceability depends on a real, honored opt-out mechanism; fee arrangements that do not functionally block a driver from bringing a claim; and Wyoming/FAA-consistent severability. Do not publish Section 9 without attorney sign-off.
10. Governing Law
These Terms shall be governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except where arbitration applies as described in Section 9.
11. Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
